4. Pricing, Payments & Billing Policy
4.1 Quotes & Proposals
All quotes, proposals, and project estimates are valid for 30 days unless stated otherwise.
4.2 Payment Terms
Clients may be required to pay:
- A non-refundable deposit before work begins.
- Milestone payments as outlined in a proposal.
- Full payment before final delivery of assets.
Accepted payment methods will be provided upon invoicing.
4.3 Late Payments
Failure to pay invoices on time may result in:
- Suspension of services.

4.4 Refund Policy

5. Client Obligations

- Ensure they own or have rights to all materials submitted to us.
We are not responsible for project delays caused by incomplete or late client materials.
6. Intellectual Property Rights

- We grant clients a license to use final deliverables for their intended business purpose.
6.2 Client IP
Clients retain ownership of all original content they provide.
6.3 Transfer of Rights
Full ownership of website code, design files, or creative assets may require complete payment and an explicit written transfer agreement.
6.4 Portfolio Usage
We reserve the right to display completed projects in our portfolio and marketing materials unless the client requests confidentiality in writing.
7. Website Development & Digital Services
7.1 Development Timeline
Timelines provided are estimates and may change based on:
- Client responsiveness.
- Scope changes.
- Technical challenges.
- Third-party platform issues.
7.2 Revisions
Projects include a set number of revisions as outlined in the project proposal. Additional revisions or scope changes may incur extra fees.
7.3 Hosting & Maintenance
Unless included in the service agreement:
- Hosting, SSL, backups, and updates are not included by default.
- Clients are responsible for the ongoing maintenance and security of their website or may engage us under a separate maintenance plan.
7.4 Third-Party Tools
We may use third-party services (plugins, APIs, SaaS tools). Clients are responsible for:
- Associated licensing or subscription fees.
- Understanding limitations or risks of third-party technologies.
8. SEO, Marketing & Performance Disclaimer
SEO, digital marketing, and advertising results cannot be guaranteed, including:
- Search engine rankings.
- Lead volume.
- Sales performance.
- Return on investment (ROI).
Results vary based on competition, algorithms, budget, industry conditions, and client actions. The Client acknowledges that search engines and ad platforms frequently update their systems, and marketing outcomes involve variables beyond the Company’s control. We cannot guarantee specific outcomes or timelines.
9. Confidentiality
Both parties agree to maintain confidentiality regarding:
- Business strategies and plans.
- Proprietary information.
- Login credentials.
- Internal processes and project documentation.
Confidentiality does not apply to publicly available or independently obtained information.
10. Data Protection & Privacy
We process personal data in accordance with:
- Our Privacy Policy
- Canadian privacy laws (PIPEDA, PIPA)
- Other applicable international laws where relevant

11. Limitation of Liability
To the fullest extent permitted by law, Online World Solutions Ltd. is not liable for:

- Client misuse of deliverables.
- Failure or underperformance of marketing campaigns.
Our maximum aggregate liability is limited to the total amount paid by the Client for the specific service in question.
12. Indemnification
Clients agree to indemnify and hold Online World Solutions Ltd. harmless against any claims, damages, liabilities, or expenses arising from:
- Misuse of services or deliverables.
- Copyright or trademark violations from client-supplied materials.
- Unauthorized alterations to delivered work.
- Violations of laws or regulations by the client.
13. Termination of Services
We reserve the right to suspend or terminate services if:
- Payments are late or unpaid.
- The client engages in abusive, offensive, or unethical behavior.
- The project violates legal or ethical standards.
- The client breaches these Terms.
Either party may terminate a project with written notice. Fees for completed work and costs incurred up to the date of termination remain due and payable.
14. Third-Party Links & External Services
Our website may include links to third-party websites. We are not responsible for their content, privacy practices, or security, and we are not liable for any losses arising from the use of those sites.
15. No Guarantee of Availability
We do not guarantee 24/7 website availability or uninterrupted services. Maintenance, technical issues, or provider outages may occur.
